DEATH BENEFIT

The plan provides that in the event of the death of a covered employee, an amount equal to one month'ssalary will be paid as a "Death Benefit." This amount is paid in addition to payment of salary andaccumulated vacation. The Death Benefit is not regarded as salary and shall not be subject to income taxwithholding.
